DELIVERY.COM USER BENEFITS

  1. Delivery.com users get 25 points per dollar -- up to 1,000 per qualified order -- from any restaurant or merchant.
    (Calculation based on the subtotal of each order).
  2. The opportunity to redeem points earned for prizes from Delivery.com.
  3. The opportunity to earn additional points for telling a friend about Delivery.com.

RULES & REGULATIONS FOR ALL PROGRAMS AND PROMOTIONS

Definitions:

  1. A qualified order is defined as:
    • An online order with a minimum subtotal price of five dollars ($5.00); and,
    • Purchased, processed and fulfilled through www.Delivery.com.
  2. Subtotal price is defined as:
    • Price of an online order (excluding any applicable taxes and gratuities); and,
    • Calculated at the time of the placement of the online order.

Exclusions:

  1. DeliveryPoints and Gold Plan Rewards (collectively "Awards Program") may not be combined with any other offers including but not limited to, redemption of gift certificates and/or pre-purchased meals.
  2. Awards Program is maintained for the benefit and participation of individual users only. Only individuals are eligible for the Awards Program, and each user may maintain only one account. Duplicate accounts will be subject to cancellation. Only the member named on the account will be entitled access to personal account information.
  3. Any user who has failed to submit a qualified order for a calendar quarter may, at the Company's option, be removed from the Awards Program.

General Rules and Regulations

  1. Participation in Delivery.com's DeliveryPoints and Tell A Friend Programs (collectively "Awards Program") is subject to any terms and conditions, rules, regulations, policies, and procedures ("Program Rules") that the Company may, at its discretion, adopt from time to time. The Company has the sole right to interpret and apply the Program Rules. Any failure to follow Program Rules, any abuse of Awards Program privileges, any conduct detrimental to the interests of the Company, or any misrepresentation of any information furnished to Company or its affiliates by any user, or anyone else acting on the user's behalf, may result in the termination of his or her membership and the cancellation of accrued awards and/or benefits.
  2. Company reserves the right to audit Awards Program at any time for compliance with the Terms Of Use, without notice to the Plan member. In the event that an audit reveals discrepancies or possible violations, the processing of award redemption requests may be delayed, modified or cancelled pending completion and results of the audit.
  3. Each user shall be responsible for remaining knowledgeable as to the Terms of Use and the awards and/or benefits user is eligible for. The Company shall attempt to advise active users of various matters of interest through such means as may be appropriate, such as account summaries, newsletters and its Web site, but the Company shall have no liability for any failure to do so. The Company will not be liable or responsible for correspondence lost or delayed in the mail, incorrect postings or any consequences thereof.
  4. Delivery.com's Awards Program is offered at the discretion of the Company, and the Company reserves the right to terminate the Awards Program or to change the Terms of Use, regulations, benefits, conditions of participation, in whole or in part, at any time, with or without notice, even though changes may affect the value of the awards and/or benefits already accumulated. The Company may, among other things, withdraw, limit, modify, substitute or cancel any award and/or benefit; increase the number of online food orders required for any award and/or benefit; and, modify or regulate the transferability of awards or benefits.
  5. The Company, at its discretion, may include affiliates and/or partners who, in some instances, permit the accrual of benefits and/or awards to users who utilize their services. The affiliates and /or partners are independent entities, and the Company is not responsible for the nature or quality of products or services provided by those affiliates and/or partners, nor for any solicitation efforts by those affiliates and/or partners.
  6. The Company shall have no liability for any incorrect and/or improper listings including, but not limited to, incorrect restaurant menu listings and incorrect menu prices. All awards calculations will be based on the subtotal price as listed at the time of the online order.
  7. The Company shall have no liability for affiliate and/or partner withdrawals from the Awards Program or for award cancellations caused by their withdrawals, discontinued Company or affiliate and/or partner service, or award for any other reason.
  8. Employees and independent contractors of the Company are not eligible for Awards Program.
